4. Vendor Listings and User Content

By submitting Content, you grant VendorizeMe a worldwide, non-exclusive, royalty-free, transferable license to display, reproduce, and promote your Content on our platform for the purpose of operating and improving the Services.
You are solely responsible for ensuring your Content:

5. Payments and Transactions
VendorizeMe facilitates payments between Clients and Vendors using Paypal.
- Payments are processed securely through Paypal and are subject to Paypal's Terms of Service and Privacy Policy
- VendorizeMe does not store or have access to your complete payment details
- VendorizeMe facilitates secure transactions between Clients and Vendors through an escrow-based payment system
- When a Client makes a payment, the funds are held in escrow until the agreed service is delivered and both parties confirm satisfactory completion
If a dispute arises regarding the quality, delivery, or fulfillment of services:
- VendorizeMe may temporarily hold or release funds based on evidence provided by both parties
- We will review disputes in accordance with our Refund and Cancellation Policy
- VendorizeMe's decision on fund release, refund, or settlement shall be final and binding within the limits of our platform's dispute resolution procedures
VendorizeMe does not act as a party to the service contract between Clients and Vendors but serves as a neutral business discovery platform (marketplace) and facilitator of payment. We are not a financial institution; all payments are processed securely through Paypal, our third-party payment processor.
6. Service Fees and Taxes
VendorizeMe may charge Vendors and Clients various fees for the use of certain features or transactions on the Platform. These may include, but are not limited to:
- Transaction or Service Fees: Deducted from payments processed through VendorizeMe, including commissions charged to Clients upon booking or payment
All applicable fees will be clearly disclosed at the point of use, checkout, or within VendorizeMe's pricing schedule. Fees are non-refundable except as expressly stated in our Refund and Cancellation Policy. VendorizeMe reserves the right to modify or update fees at any time, with reasonable notice provided through the Platform or by email.
Vendors are solely responsible for reporting and paying any applicable taxes on income earned through VendorizeMe. VendorizeMe does not provide tax advice and bears no responsibility for a Vendor's tax obligations or compliance. Clients are likewise responsible for any taxes associated with their purchases or service bookings, as required by applicable law.
7. Prohibited Activities
You agree not to:
- Use the Services for unlawful purposes or to engage in fraud
- Misrepresent your identity or services
- Post or transmit harmful, offensive, or misleading content
- Attempt to hack, disrupt, or overload our systems

8. VendorizeMe's Role
VendorizeMe is a marketplace facilitator, not an event planner, employer, or agent of either party. We do not guarantee:
- The quality, timing, or reliability of Vendor services
- The accuracy of Vendor listings
- That Clients will hire a Vendor or that Vendors will be paid
All agreements between Vendors and Clients are made at their own discretion and risk.
9. Intellectual Property
All content, branding, and design elements on VendorizeMe (including logos, text, and software) are the property of VendorizeMe or its licensors. You may not copy, reproduce, or use them without prior written consent.
10. Termination
VendorizeMe may suspend or terminate your account or access to the Services:
- If you violate these Terms
- If required by law
- At our discretion for business or security reasons

11. Disclaimers

Vendor Agreement (Vendor Policy)
This Vendor Agreement governs the relationship between VendorizeMe and the individual or entity ("Vendor") that lists and provides services through the VendorizeMe platform (the "Platform"). By creating a Vendor account or listing your services on VendorizeMe, you agree to comply with this Agreement, the Terms of Service, and the Privacy Policy.
1. Vendor Eligibility and Registration
To become a Vendor, you must:
- Be at least 18 years of age (or the legal age of majority in your jurisdiction)
- Have full authority to represent your business or services
- Provide accurate, current, and complete information during registration
- Maintain an active Vendor account in good standing
VendorizeMe reserves the right to verify your identity or business information and to approve, suspend, or reject any Vendor registration at its discretion.
2. Vendor Responsibilities
As a Vendor, you agree to:
- Accurately describe your services, prices, and availability
- Deliver services as agreed with Clients in a professional and timely manner
- Communicate promptly and respectfully with Clients and VendorizeMe
- Keep your Vendor profile up to date
- Comply with all applicable local, state, and federal laws
You must not use VendorizeMe to:
- Offer fraudulent, illegal, or misleading services
- Post false, defamatory, or offensive material
- Circumvent VendorizeMe's payment or messaging systems
- Engage in spam, deception, or other prohibited activities
3. Vendor Listings and Content
You may upload photos, videos, descriptions, and other materials ("Content") to market your services. By uploading or submitting Content, you:
- Represent and warrant that you own or have permission to use all such materials
- Grant VendorizeMe a worldwide, royalty-free, non-exclusive license to use, display, and promote your Content on the Platform and related marketing materials
- Acknowledge that VendorizeMe may format, crop, or adapt your Content for display purposes
VendorizeMe reserves the right to remove or edit any Content that violates this Agreement, applicable laws, or community standards.
4. Payments, Escrow, and Fees
VendorizeMe uses Paypal and other secure processors to facilitate transactions through an escrow-based payment system designed to protect both Vendors and Clients.
a. Escrow System
- When a Client books a Vendor through the Platform, payment is held in escrow until the service is completed or confirmed as satisfactory by both parties
- Once completion is confirmed, funds (minus applicable fees) are released to the Vendor's connected Paypal account
- If a dispute arises, the release of funds will be paused pending resolution
b. Fees and Deductions
- VendorizeMe may charge service, processing, or transaction fees
- All applicable fees will be disclosed before transactions or payout
- VendorizeMe may deduct fees automatically before disbursing funds
c. Refunds and Disputes
- If a Client files a dispute or cancellation claim, VendorizeMe may hold funds until the issue is resolved
- In the event of confirmed service failure or Client dissatisfaction, VendorizeMe may issue a partial or full refund at its discretion
- VendorizeMe does not control the timing of bank transfers once payouts are initiated by Paypal and is not liable for delays caused by third-party systems
5. Taxes and Legal Compliance
Vendors are independent business owners responsible for:
- Reporting and paying all applicable taxes
- Complying with any required licenses, insurance, or regulations
- Observing local labor, health, and safety laws
VendorizeMe does not withhold or remit taxes on your behalf unless legally obligated.
6. Independent Contractor Relationship
This Agreement does not create an employment, partnership, joint venture, or agency relationship between VendorizeMe and the Vendor. Vendors operate as independent contractors and are solely responsible for their own business operations, pricing, and obligations to Clients.
7. Cancellations and Dispute Resolution
Each Vendor must maintain a clear cancellation and refund policy visible to Clients. In case of a dispute:
- The Vendor and Client should first attempt to resolve the issue directly
- If no resolution is reached, VendorizeMe may mediate but is not required to
- VendorizeMe reserves the right to make a final determination regarding the release or refund of escrowed funds
Repeated disputes or policy violations may result in account suspension.
8. Reviews and Ratings
Clients may leave public reviews of Vendor services. VendorizeMe does not guarantee the accuracy or fairness of reviews but may remove reviews deemed false, abusive, or in violation of Platform rules. Consistently low ratings or repeated verified complaints may lead to account deactivation.
9. Data Protection and Client Privacy
You agree to handle any Client personal information in accordance with the Privacy Policy and applicable data protection laws. You may only use Client information for the specific purpose of fulfilling a confirmed booking and must not share, sell, or misuse such data.
10. Suspension and Termination
VendorizeMe may suspend or terminate your Vendor account immediately if:
- You breach this Agreement or any applicable laws
- You engage in fraudulent or unsafe behavior
- You repeatedly receive valid complaints or fail to deliver promised services
Upon termination, active bookings may be canceled, and escrowed funds will be processed per VendorizeMe's final determination.
11. Limitation of Liability
To the maximum extent permitted by law, VendorizeMe shall not be liable for any:
- Lost revenue, profits, or business opportunities
- Indirect or consequential damages
- Disputes or losses arising from interactions between Vendors and Clients
VendorizeMe's total liability under this Agreement shall not exceed the total fees paid to the Vendor in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless VendorizeMe, its officers, employees, and affiliates from any claims, losses, or expenses arising from:
- Your breach of this Agreement
- Your content or services
- Disputes or claims brought by Clients or third parties
13. Modifications
VendorizeMe may modify this Agreement at any time. Updates will be posted on the Platform, and continued use constitutes acceptance of the revised terms.
14. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. For Vendors based in Canada or the United Kingdom, relevant local consumer protection and data privacy laws may also apply. All disputes shall be resolved in the courts of Delaware, United States, unless local law requires otherwise.

Client Policy (User Guidelines)
This Client Policy sets out the terms and expectations for individuals and organizations ("Client") who use VendorizeMe to discover, book, and communicate with service providers ("Vendors"). By using VendorizeMe, you agree to comply with this Policy, our Terms of Service, and our Privacy Policy.
1. Purpose of the Platform
VendorizeMe is an online marketplace that connects Clients planning events (such as weddings, parties, or corporate functions) with Vendors offering professional event services. VendorizeMe acts solely as an intermediary between Clients and Vendors and does not directly provide event services.
2. Client Account Responsibilities
When creating a Client account, you agree to:
- Provide accurate, up-to-date information about yourself and your business
- Maintain the confidentiality of your login credentials
- Use the Platform only for lawful purposes and legitimate event bookings
- Not create multiple or fake accounts
- Not use VendorizeMe to engage in fraud, abuse, harassment, or illegal activity
VendorizeMe may suspend or terminate your account if any information provided is false or if your activity violates this Policy.
3. Booking and Payment Process
a. Escrow Payments
- All payments for Vendor services are processed securely through VendorizeMe's escrow system, managed by Paypal and other authorized processors
- When you confirm a booking, your payment is held in escrow until the Vendor completes the service or until you confirm satisfactory delivery
- Upon confirmation, the funds are released to the Vendor (less applicable platform fees)
b. Payment Protection
- Escrow ensures that your funds are secure until services are rendered as agreed
- VendorizeMe will not release funds early unless both parties authorize it
- If a dispute arises, VendorizeMe may pause the release of funds until the issue is resolved
c. Payment Details
- VendorizeMe does not store or have access to your full credit card information
- All payment data is handled by Paypal in compliance with applicable security and privacy standards
4. Cancellations and Refunds
a. Client-Initiated Cancellations
- If you cancel a booking, the applicable refund will depend on the Vendor's individual cancellation policy, which is displayed on their profile
- Some Vendors may charge a cancellation fee or may not offer refunds after a certain period
b. Vendor Cancellations
- If a Vendor cancels, VendorizeMe will refund your payment in full with no terms or clause attached to this
c. Disputes
- If you are dissatisfied with a Vendor's service, notify support@kenkeputa.com within 2 days of the event
- VendorizeMe may mediate disputes and determine whether a refund, partial refund, or credit applies
- Refund decisions made by VendorizeMe are final
5. Communication and Conduct
You agree to maintain professionalism and respect in all interactions on the Platform. Specifically, you must not:
- Use abusive, discriminatory, or threatening language toward Vendors or staff
- Request or share inappropriate personal information
- Attempt to negotiate or conduct transactions outside the Platform (to avoid fees or escrow)
VendorizeMe reserves the right to suspend or terminate accounts that violate these guidelines.
6. Reviews and Feedback
After completing a booking, Clients may post reviews and ratings about their experience.
- Reviews must be honest, relevant, and factual
- Fake, defamatory, or incentivized reviews are prohibited
- VendorizeMe reserves the right to remove or edit reviews that violate our guidelines or applicable laws
7. Event and Safety Guidelines
- You are responsible for verifying that any Vendor you hire meets your event's specific safety, licensing, and insurance requirements
- VendorizeMe does not supervise or guarantee the performance of Vendors
- You should exercise normal caution during in-person meetings, event planning, and day-of coordination
- VendorizeMe disclaims liability for any incidents, damages, or losses arising from events booked through the Platform
8. Data and Privacy
VendorizeMe handles all personal information in accordance with our Privacy Policy. As a Client, you agree to:
- Provide accurate information only for booking purposes
- Refrain from sharing another user's personal data without consent
- Acknowledge that VendorizeMe may contact you via email or push notifications related to bookings or account activity
9. Prohibited Activities
You agree not to:
- Book Vendors under false pretenses or for illegitimate events
- Use VendorizeMe for advertising unrelated products or services
- Circumvent or manipulate the escrow or review systems
- Copy or scrape Vendor data for external use
- Engage in harassment, fraud, or misrepresentation
Violations may result in account suspension or permanent removal.
10. Dispute Resolution and Escrow Handling
VendorizeMe may mediate disputes related to bookings and payment releases.
- If both parties cannot reach an agreement, VendorizeMe's decision regarding the escrow release or refund will be final and binding
- VendorizeMe does not represent either party legally and acts only as an impartial intermediary
11. Limitation of Liability
VendorizeMe is not liable for:
- The quality, safety, or performance of services provided by Vendors
- Any loss, injury, or damages arising from event participation
- Indirect or consequential damages such as lost opportunities or reputational harm
VendorizeMe's total liability to you shall not exceed the total amount you paid for the relevant booking.
12. Account Termination
VendorizeMe reserves the right to terminate or suspend any Client account that:
- Violates this Policy or other platform rules
- Engages in fraudulent activity or chargebacks
- Abuses the review, escrow, or communication systems

Refund and Cancellation Policy
This Refund and Cancellation Policy outlines how cancellations, refunds, and dispute resolutions are handled on VendorizeMe. VendorizeMe acts as a secure intermediary between event Clients ("Clients") and service Vendors ("Vendors") through an escrow payment system managed by Paypal and other authorized processors. By booking or listing services on VendorizeMe, you agree to this Policy as part of our Terms of Service and applicable Vendor or Client Policies.
1. Escrow-Based Payment Protection
All payments for Vendor services are processed through VendorizeMe's escrow system:
- When a Client confirms a booking, the payment is held in escrow until the Vendor completes the service or until the Client confirms satisfactory delivery
- VendorizeMe will not release funds to the Vendor until the event has been successfully completed or both parties confirm completion
- This ensures fairness and protection for both Clients and Vendors
- VendorizeMe does not hold payments directly. All transactions are securely managed by Paypal, which complies with PCI DSS and other financial security standards
2. Client Cancellations
If a Client cancels a booking:
- Refund eligibility will depend on the Vendor's individual cancellation policy, which is displayed on their VendorizeMe profile or during checkout
- Some Vendors may offer full refunds if the cancellation occurs a certain number of days before the scheduled event; others may apply partial refunds or no refunds after a specified time window
- VendorizeMe encourages Clients to review these policies carefully before confirming a booking
If a Vendor's cancellation policy is not specified, the following standard policy applies:
- More than 14 days before the event: 90% refund (minus processing fees)
- 7–14 days before the event: 50% refund
- Less than 7 days before the event: Non-refundable
Refunds may take 5–10 business days to appear, depending on your payment provider.
3. Vendor Cancellations
If a Vendor cancels a confirmed booking:
- The Client will receive a full refund of the payment held in escrow
- VendorizeMe reserves the right to temporarily suspend or review the Vendor's account for reliability and performance compliance
- VendorizeMe may assist the Client in finding an alternative Vendor if available
4. Event Modifications and Rescheduling
Any modification or rescheduling will be done manually between Vendors and clients via messaging. The payment will be held in escrow until both parties are satisfied with the outcome.
5. Disputes and Refund Requests
If a Client is dissatisfied with a service or claims the Vendor did not fulfill their obligations:
- The Client must notify VendorizeMe within 2 days of the event date via support@kenkeputa.com
- VendorizeMe may request supporting documentation (e.g., photos, communication logs, or contracts)
- VendorizeMe will then investigate and, at its discretion, determine whether to:
- Release full or partial payment to the Vendor, or
- Refund all or part of the payment to the Client
All decisions made by VendorizeMe in relation to disputes and refunds are final.
6. Non-Refundable Fees
Certain payments are non-refundable, including:
- Platform service fees or transaction processing fees
- Cancellations made after the Vendor's "non-refundable" deadline
- Force majeure events (e.g., weather, illness, travel bans) unless otherwise agreed between the parties
7. Processing Time for Refunds
Approved refunds are processed within 5–10 business days through Paypal. The exact timing depends on your financial institution's policies. VendorizeMe is not responsible for delays beyond its control.
8. No Chargebacks
By using VendorizeMe, you agree not to initiate chargebacks with your bank or payment provider for transactions processed through the Platform. All disputes must be handled through VendorizeMe's internal resolution process as described above.
9. Fraudulent or Abusive Cancellations
VendorizeMe reserves the right to deny refunds or terminate accounts if a Client or Vendor is found to be engaging in fraudulent, excessive, or abusive cancellation behavior.
10. Force Majeure
Neither VendorizeMe, the Client, nor the Vendor shall be liable for cancellations or non-performance due to causes beyond reasonable control, including natural disasters, government restrictions, or public emergencies. 3. Escrow Protection
VendorizeMe's escrow system ensures transparency and fairness for both parties:
- When a Client confirms a booking, payment is secured in escrow
- Funds remain in escrow until:
- The Vendor confirms service completion, and
- The Client marks the service as delivered or does not raise a dispute within the defined window
- Only then are funds released to the Vendor's Paypal account (minus applicable platform fees)
- If a dispute is raised, VendorizeMe may hold or release the funds based on investigation outcomes, in line with the Refund & Cancellation Policy
4. Vendor Payouts
- Vendor payouts are processed via Paypal Connect and require a valid, verified Paypal account
- Vendors are responsible for ensuring that their payment and banking details are accurate and up to date
- VendorizeMe typically releases funds within 3–7 business days after Client confirmation or automatic escrow release
- VendorizeMe may delay or withhold payouts if:
- A dispute or investigation is ongoing
- The Vendor's account requires verification
- There is suspicion of fraudulent or non-compliant activity
- VendorizeMe is not liable for payout delays caused by Paypal, banks, or other third-party processors
5. Platform Fees and Deductions
VendorizeMe charges Vendors a platform service fee on each completed transaction.
- The fee covers payment processing, escrow protection, customer support, and platform operations
- The applicable rate is displayed in the Vendor dashboard or during the listing process
Refunds and Platform Fees
In the event of a refund arising from vendor non-performance, cancellation, or service dissatisfaction, VendorizeMe will refund the vendor's portion of the payment held in escrow to the client, in accordance with our Refund and Cancellation Policy.
Platform Fees refer to any charges imposed by VendorizeMe for the use of its services, including but not limited to:
- Processing Fees – service or transaction fees deducted for payments processed through the Platform
All Platform Fees are non-refundable, as they cover payment processing costs already incurred at the time of payment. Refunds may, however, be adjusted or partially issued in cases of proven system failure confirmed by VendorizeMe, or in the event of a verified overcharge attributable to a platform error.
Clients will not be charged any undisclosed or unexpected fees when making payments through VendorizeMe. The total amount payable at checkout may include VendorizeMe's service/payment processing charge, which will be clearly itemized before payment confirmation. Additional fees may apply only for optional premium features, advertising, or add-on services, which will also be disclosed in advance.
6. Taxes and Compliance
- Vendors are solely responsible for reporting and remitting any taxes (sales tax, VAT, income tax, etc.) related to their earnings through VendorizeMe
- VendorizeMe does not withhold taxes on behalf of Vendors unless required by law
- Clients are responsible for any applicable taxes related to their purchases or event services
7. Disputes and Chargebacks
- In the event of a payment dispute, Clients must first contact VendorizeMe Support before initiating a chargeback
- VendorizeMe reserves the right to suspend accounts or recover funds if a User initiates an unauthorized or unjustified chargeback
- Any chargeback fees imposed by Paypal or other processors may be passed on to the party responsible for the chargeback
- VendorizeMe's resolution in disputes regarding payments or escrow release shall be final and binding
8. Failed or Reversed Payments
If a Client's payment fails or is later reversed (e.g., due to insufficient funds, bank error, or dispute), VendorizeMe may:
- Cancel the associated booking
- Reclaim funds previously released to the Vendor
- Suspend the User's account until the balance is resolved
Vendors must not deliver services until payment has been confirmed as received in escrow.
9. Fraud Prevention and Verification
VendorizeMe employs automated and manual fraud detection systems. We may request verification documents or delay transactions if suspicious activity is detected. Failure to comply with verification requests may result in the suspension or cancellation of transactions.
10. Non-Circumvention
All payments for Vendor services booked through VendorizeMe must be completed through the Platform. Users must not attempt to:
- Negotiate or accept payments outside VendorizeMe
- Request direct bank transfers or cash
- Circumvent platform fees or escrow protections
Violation of this clause may lead to permanent account termination.
